We act for technology clients of all descriptions including start up businesses, quoted companies, multinationals, universities and venture capitalists. The following examples illustrate the breadth of our client base.

Applied Optical Technologies plc

We have advised listed holography and security printing company Applied Optical Technologies plc for a number of years including its $64,000,000 acquisition of Nasdaq-quoted Optical Security Group, Inc. and on the associated £40,000,000 equity fundraising on the London market.

Durham Pipeline Technology

Dickinson Dees works closely with the University of Durham in relation to the commercialisation of its intellectual property and development of new technology within the University. Dickinson Dees advised on the spin off of Durham Pipeline Technology Limited (DPT) and the licensing of technology from the University to DPT. We subsequently advised DPT on its two rounds of equity fund raising.

Durham University

We deal with all Durham University’s technology transfer work. Projects include advising on the formation and externalisation of a number of spin-off companies, licensing and other technology exploitation arrangements with companies, other universities and the NHS as well as dealing with tax and charitable issues concerning the university’s commercial and technology transfer activities.

ICI Group Technology

We have advised ICI Group Technology in relation to collaboration research agreements and licensing, both in the UK and overseas.

Joyce-Loebl Group

We advised the management team of Joyce-Loebl Group in relation to the restructuring of the group’s equity structure in a transaction backed by 3i and on its acquisition of the Smartseat business and technology, used in relation to train and airline industries, from private vendors.

Monstermob plc

We have acted for this listed company in relation to a wide variety of matters. These include placings of shares on the London Stock Exchange and the acquisition of businesses in the Philippines, Malaysia, China and Russia.

Nonlinear Dynamics

Advising on a variety of issues including venture capital and other equity investments, employment issues, share buy backs, the establishment of an employee benefit trust and software licences.

Northern Venture Managers

Dickinson Dees advises Northern Venture Managers (NVM) on all its investments. In recent years, NVM has been one of the most active venture capitalists in the United Kingdom. Technology investments we have advised on include Oxonica, British Biocell International, Cyclacel, Prismtech and SML Technologies, Iris Technology, Arrow Therapeutics, Metris Therapeutics and GSM-Central.

Orla Protein Technologies

Orla Protein Technologies is one of the first biotechnology companies to be spun-out of Newcastle University in recent years. Dickinson Dees advised Orla and its founders on its creation and spin-out from the university and three rounds of venture capital investment.

Reevu Limited

Dickinson Dees advised Reevu Limited, a company which has pioneered rear view mirror technology in cycle helmets, in relation to the extension of this technology in to the motor cycle field. In particular, Dickinson Dees advised on such issues as the protection and world-wide licensing of the relevant technology in this new sector.

ST Microelectronics

Swiss based ST Microelectronics is one of the world’s leading semi-conductor manufacturers. We advised on ST’s electronic commerce global strategy dealing with multi protection, electronic trading and supply chain management initiatives.

Synetix

Dickinson Dees advised Synetix (part of the Johnson Matthey group) on a variety of technology related agreements including research and development agreements with universities, collaboration agreements with other businesses, technology licences, studentship agreements and confidentiality agreements.

Transcomm plc

We acted for AIM listed London based company Transcomm plc for many years. Projects we advised on include the acquisitions of Twenty First Century and RAM Mobile Data and related placings raising approximately £20,000,000 and latterly the recommended £15,300,000 bid by British Telecommunications plc.

Uniqema

Uniqema is part of the ICI Group. Dickinson Dees advises it on research collaboration agreements with universities and on the licensing of intellectual property rights.

Xcellsyz Limited

Dickinson Dees advised Xcellsyz Limited, a biotechnology company involved in the production of cell lines for diabetes research. In particular, we have advised them on various technology related agreements including material transfer and service agreements and licensing arrangements.
